1. PURPOSE

Koko Assist’, a sole proprietorship, provides secretarial services (administrative support and consulting, drafting, executive assistance, trilingual secretarial services, commercial management, project management, communication).

These services are offered to both professional clients (craftsmen, shopkeepers, freelancers, SMEs, large companies, nonprofit organizations) and non-professional clients (private individuals).

2. APPLICATION

The present Terms and Conditions of Sale (TCS) apply to all service orders placed by the Client with Koko Assist’, (the Service Provider), registered at 66 allée des Platanes, HARNES (62440), SIRET 538 900 556 00050, and represented by Mrs. Corinne SZCZESMY.

No specific or general purchase conditions may prevail over these TCS, unless agreed in writing by both parties.

*Service agreement
Depending on the type or duration of service, or at the request of either party, Koko Assist’ Koko Assist’ will provide, to the Client, a service agreement specifying the type of services requested, payment and organizational terms, and any clause deviating from these TCS. In such cases, the provisions of the service agreement take precedence over these TCS.

3. GENERAL PROVISIONS

Koko Assist’ may modify these TCS at any time, provided that any changes are published on the website https://www.koko-assist.com.

The applicable TCS are those in force at the time of order confirmation.

4. LOCATION AND DURATION OF SERVICES

The services described in Article 1 are performed either remotely from the premises of Corinne Szczesmy – Koko Assist’, sole proprietorship – or on-site at the Client‘s location.

Some services may be carried out using the Client‘s equipment, subject to agreement between both parties.

No minimum number of hours is required. However, for on-site services, a minimum of two hours is recommended.

5. SERVICE ACCESS CONDITIONS

Based on the information provided by the Client, ach order receives a personalized, free quote detailing the requested services. Quotes are valid for up to 30 days. Beyond this period, an extension must be requested or a new quote issued.

The applicable TCS are sent to the Client along with the quote. By signing the quote, the Client declares having read, understood, and accepted them.

To validate the service order, the Client must return the dated and signed quote to Koko Assist’, with a company stamp if applicable, and the phrase “Approved”. All orders must be accompanied by a 30% deposit of the total amount shown on the quote.

The remaining balance is due upon completion of the service, on receipt of the final invoice.

If the signed quote, TCS, or deposit are not received, Koko Assist’ reserves the right not to begin or to suspend the service.

6. EXECUTION TIMES

Koko Assist’ undertakes to propose the most suitable deadlines for the Client’s request, within the limits of availability.

The delivery time, mutually agreed upon and stated in the quote, will be respected:
– subject to receipt of the deposit or payment of previous services.
– except in case of delay by the Client in confirming the order, which may result in extended deadlines.
– except in cases of force majeure (see article 9.2).
– except for modifications requested by the Client, outside the scope of the initial quote. These may incur additional charges (see article 7.6).

The Client has seventy-two hours from the date of receiving the work to submit written reservations or complaints. After this period, the work is considered compliant and no claims will be accepted.

7. PRICING AND PAYMENT TERMS

Service prices are those in effect on the day the quote and TCS are accepted.

Prices are in euros and not subject to VAT under article 293B of the French General Tax Code. They may be calculated per unit, per hour or as a flat rate. Prices are subject to annual review on January 1st.

Prices shown on Koko Assist’ communication materials are for reference only and do not replace a formal personalized quote.

7.1. PAYMENT TERMS

Payment terms are specified on each quote.

Payment for services is due upon receipt of the invoice by the Client:
– by bank transfer.
– by cheque, payable to Corinne Szczesmy.
– in cash.

Payment must be made no later than the date indicated on the invoice.

7.2. PROMPT PAYMENT DISCOUNT

No discount will be granted for early payment.

7.3. DISCOUNTS

Any discount is at the sole discretion of Koko Assist’ and applies only to the service specified on the quote. Discounts or rebates granted do not constitute an acquired right for future services.

7.4. DISBURSEMENT CHARGES

Any expenses incurred with the Client’s agreement will be billed at actual cost (parking, supplies, postage, etc.).

7.5. TRAVEL EXPENSES

Any travel requested by the Client will be billed as follows:
– reimbursement of transport tickets upon presentation of proof,
or
– mileage allowance of €0.15 per kilometer traveled.

7.6. SURCHARGES

A surcharge will apply in the following cases:

urgent service (not included in the initial quote) to be completed within less than 24 hours: a surcharge of 25% to 50% will be applied to the base rate, depending on the requested timeframe. Koko Assist’ reserves the right to refuse urgent, unplanned services if unable to fulfill them.

service performed during a weekend or public holiday: a 50% surcharge will be applied to the base rate.

7.7. LATE PAYMENT (PROFESSIONAL CLIENTS)

In case of late payment, a penalty equal to three times the legal interest rate will be charged, plus a fixed recovery fee of €40, in accordance with the articles L441-6 and D441-5 of the French Commercial Code.

This penalty, calculated on the outstanding amount, accrues automatically from the day after the payment due date on the invoice, as does the €40 recovery fee.

Additionally, Koko Assist’ reserves the right to suspend or terminate any current orders or contracts after a formal notice has remained unanswered.

In the event of legal collection, the Client will bear all reminder and litigation costs.

8. OBLIGATIONS OF THE SERVICE PROVIDER AND CLIENT

Both parties undertake to collaborate actively and declare that they are insured, notably for Professional Civil Liability, and will keep all required insurance policies up to date.

8.1. CLIENT OBLIGATIONS

The Client undertakes to provide Koko Assist’, within the required timeframes, with all documents, materials, and information necessary for the completion of the mission. All elements must be of good quality and supplied on valid media.

Any delay, omission, or unusable document (e.g., inaudible audio, illegible file) may result in either a revised delivery date or cancellation of the order.

The Client certifies that they possess intellectual property rights, software licenses, and administrative authorizations for all resources used by the Provider.

The Client also undertakes to use the Provider’s services strictly for lawful purposes. Koko Assist’ reserves the right to refuse any work that is contrary to honesty or morality (pornography, racism, incitement to violence, etc.).

8.2. SERVICE PROVIDER OBLIGATIONS

Koko Assist’ ndertakes to use all means necessary to provide quality work and ensure the proper completion of the assigned tasks. The Provider will also respect the agreed deadlines (except in special cases mentioned in article 6).

If the service is performed on the Client’s premises, Koko Assist’ will comply with all applicable hygiene and safety rules.

If the service is performed remotely, Koko Assist’ will respond to all Client requests within the scope of the service and return all documents and deliverables by the agreed-upon means: email, postal mail—shipping (costs borne by the Client), etc.

9. CONFIDENTIALITY, LIABILITY AND FORCE MAJEURE

Koko Assist’ undertakes to strictly respect the confidentiality of all information, documents, data, or concepts that may come to its knowledge before, during, or after the performance of the service, as well as the content of the commissioned and completed work.

9.1. LIMITATION OF LIABILITY

Koko Assist’ cannot be held liable for IT incompatibilities due to the Client’s software or operating system versions.

Koko Assist’ is not liable for interception or misappropriation of information during data transfer, especially via the Internet. The Client is responsible for informing the Provider of any preferred means of transfer to ensure the confidentiality of sensitive information.

By express agreement, the results of the assignment are fully under the Client’s control once full payment has been made.Koko Assist’ will not disclose or use the results in any way without the Client’s prior written consent.

Once the service is completed, Koko Assist’ assumes no further responsibility. Upon delivery of the documents, the Client is responsible for the use, exploitation, and dissemination of the content, including any rights and copyrights.
The Client holds Koko Assist’ harmless from any claims arising from fraudulent use, loss of profits or commercial disruption.

This also applies to modifications made to the service by the Client or any third party. The Provider is not liable for any damages incurred by the Client as a result of such modifications.

9.2. FORCE MAJEURE

Non-performance or delays due to force majeure do not incur the Provider’s liability or entitle the Client to compensation, regardless of the resulting damages.

Force majeure refers to any external, unforeseeable, and irresistible event as defined by the article 1148 of the French Civil Code.

10. DATA PROTECTION

In accordance with the article 40 of the law n° 78-17 of January 6, 1978, the Client has the right to rectify, modify and delete any data provided to Koko Assist’.

11. MODIFICATION AND TERMINATION OF SERVICES

11.1. RIGHT OF WITHDRAWAL

The Client has a right of withdrawal of 14 days, starting from the date of signature of the quote and acceptance of these TCS.

If a deposit has been paid and the work has not yet started, it will be refunded in full.
However, any work performed and delivered during this withdrawal period must be paid in full.

11.2. CANCELLATION

If the Client cancels an order in progress, for any reason, they agree to pay for all services already performed. This cancellation must be confirmed by the Client to Koko Assist’ in writing.

11.3. TERMINATION

For ongoing (monthly or annual) services, either party may terminate the contract by letter or email with 15 days’ notice. However, the Client agrees to pay for services in progress or already performed.

12. DISPUTE RESOLUTION

Any dispute relating to the interpretation or execution of these TCS is subject to French law. Failing amicable resolution, the dispute will be brought before the Commercial Court of Arras (Pas-de-Calais).
